Xoserve Board

Our Board of non-executive directors (NED) steers the company strategically, ensuring strong governance and accountability, authorising key financial commitments, acting as the ultimate decision-making body for critical projects.

The Xoserve Board is chaired by Mike Hogg.

Membership of the Board comprises:

  • two members nominated by the Gas Distribution Networks
  • one member nominated from National Gas Transmission
  • one member from the Independent Gas Transporters (IGTs)
  • four members nominated by the Gas Shippers


Chair of the Board

Mike Hogg has spent more than 50 years in the energy industry, building a career that stretches from shaping global strategy to leading teams on the front line of operations.

He has held senior roles as Chair, Director and Managing Director across marketing, sales and distribution, covering every major energy product — both carbon-based and renewable — with the exception of nuclear. 

As a Shipper Managing Director, Mike grew gas sales, launched electricity operations and boosted profitability, gaining first-hand insight as a Xoserve customer.

He later brought that experience into governance, serving as a Non-Executive Director at Xoserve for eight years before stepping up as Chair for a further year. 

Alongside his leadership roles, Mike has developed deep expertise in outsourcing contract management, particularly in IT, distribution, and sales and service. His breadth of experience and passion for the industry continue to guide his work as Chair of the Board. 


Nominated by Gas Distribution Networks

Sarah Carroll brings 18 years of experience in the gas industry and more than 25 years working in governance, internal audit, compliance and risk management across highly regulated sectors, including both energy and financial services.

She has served as a Non-Executive Director at Xoserve for over five years and has chaired a number of steering and governance groups at NGN. Beyond her industry roles, Sarah has also held leadership positions as Chairman, Secretary and Treasurer for various sports clubs and leagues, demonstrating her commitment to both professional and community leadership.

Her board experience spans a wide range of companies and sectors, and she brings specialist expertise in fraud prevention and investigation, including experience supporting employment tribunals and criminal prosecutions.

Bianca Cooper is part of the Cadent Gas Ltd Executive team as Transformation and Programme Director, leading initiatives that strengthen operational resilience and enable technology-driven change. She previously headed the RIIO-3 business plan programme, delivering Cadent’s plan to Ofgem, which earned sector-leading recognition for clarity through the Business Plan Incentive award.

With nearly 25 years of experience spanning commercial management, IT, security, governance, risk, and technology supply chain management, Bianca brings deep expertise in shaping strategic outcomes and driving complex programmes.

A strong advocate for lifelong learning, she completed a law degree part-time while working full-time and is now nearing completion of an MBA as well. Bianca combines academic insight with practical leadership to advance technology transformation and enhance commercial and supplier governance for efficient, effective operations.


Nominated from National Gas Transmission

Tony Nixon brings more than 35 years of experience in the energy industry, with a career spanning a wide range of roles in both gas transmission and distribution. He joined Xoserve as a Non-Executive Director in January 2024 and is currently Regulation Director for National Gas Transmission.

In his role, Tony leads on the development and implementation of the energy regulatory framework and has a strong focus on government on policy. This includes the future of methane, hydrogen and carbon dioxide transportation, helping to drive the transition to a lower-carbon energy system.


Nominated from Independent Gas Transporters (IGTs) 

Neil Shaw has more than 45 years of experience across the energy and wider utilities sector, covering trading, imports, storage, retail, billing, transmission, distribution, metering and the deregulation of connections. He has served as a Non-Executive Director at Xoserve for eight years and has held senior leadership roles for over two decades, including Managing Director, CEO, Executive Chair and Non-Executive Chair.

A Chartered Engineer, Neil has extensive expertise in price control, regulatory reporting and investigations, as well as mergers and acquisitions, raising finance through banks and bonds, and securing credit ratings. He has also played a key role in developing new markets in deregulated utility sectors, including gas, electricity, water, fibre to the home and heat networks.

With a proven track record in strategy development, business transformation and organisational restructuring, Neil brings both depth and breadth of insight to his role on the Board.

John Clarke joined Xoserve as a Non-Executive Director in May 2024, bringing more than 30 years of senior executive experience across multiple industries and well-known brands, along with over a decade in non-executive and advisory positions.

With more than 25 years’ expertise in building digital platforms, ERP systems, business services, real-time monitoring, advanced analytics and AI/ML solutions, John has led large-scale technology transformations throughout his career. He has also spent over 10 years as a partner and management consultant, delivering major platform implementations, technology refreshes and assurance reviews.

Currently, John serves as a Non-Executive Chair and Director overseeing three major ERP and platform programmes. He has managed numerous high-value outsourced service contracts worth between £50 million and £500 million+, spanning operations, IT, data and customer services. In addition, he is a UK Government Commercial and Digital Crown Representative, advising across departments on both commercial and policy matters.

Rachael brings a wealth of experience from across the energy and regulated sectors, having held senior roles at organisations including National Grid, BT, and O2.

As an experienced Chief Legal Officer, she has worked closely with audit committees and held responsibility for legal, compliance, ethics, and risk management functions.

More recently, she has served on a number of Boards in advisory, General Counsel, and Company Secretary roles.

Inge Hansen joined Xoserve as a Non-Executive Director in June 2024, bringing more than 20 years of experience in regulation and stakeholder management. She has held senior executive roles with accountability for economic regulation, consumer protection, security, data protection and licensing, as well as broader responsibilities across corporate affairs and ESG.

Her career spans both Great Britain and Europe, giving her wide-ranging insight into regulatory frameworks and stakeholder engagement. Inge also has a strong working knowledge of GB energy regulation and industry codes, built through her executive leadership roles.

Alongside her executive career, she has served six years as a Non-Executive Director of a not-for-profit joint venture between UK mobile network operators to deliver specific licence obligations, and has also held board positions with two trade associations.

Chris Jones has more than 30 years of experience as a Board Director, including four years as a Non-Executive Director at Xoserve. He spent two decades as both CFO and CEO of a major water company and has held a variety of senior director roles across regulated utilities, including water, electricity and consulting.

Alongside his executive career, Chris has served as a Non-Executive Director in financial services, media, utilities and higher education, bringing broad perspective and governance expertise across multiple sectors. He also has extensive experience managing large-scale outsourced service contracts, valued at over £100 million, covering operations, IT, capital investment and customer service.
